This note is a discussion of the basics of corporate bankruptcy, including voluntary settlements as an alternative to seeking the protection of the court. The background of the bankruptcy laws and the changes created by the 1978 Bankruptcy Code are reviewed. Creditor classes are identified, and the basic terms of preferences are outlined. The role of negotiations within the framework of the law is emphasized, and a few of the critical tax problems are noted.
